Accuracy of Representations and Warranties of NBC. The representations and warranties of NBC contained in this Agreement shall be true and correct in all material respects, in each case on and as of May 9, 1999 and on and as of the Closing Date as though made on and as of such time, except to the extent such representations and warranties by their terms speak as of a specified date, in which case they shall be true and correct in all material respects as of such date; and Xenon 2 shall have received from NBC a certificate to such effect with respect to such party dated as of the Closing Date signed by an officer thereof.
