Common use of Accuracy of Representations and Warranties; Performance of Obligations Clause in Contracts

Accuracy of Representations and Warranties; Performance of Obligations. At Closing, Purchaser shall certify to Seller that (i) the representations and warranties of the Purchaser herein contained are true and correct as of the Closing Date with the same effect as though made on the Closing Date (except for changes permitted or contemplated by the terms of this Agreement or except to the extent that they expressly relate to an earlier date); and (ii) Purchaser has performed all obligations and complied with all covenants required by this Agreement to be performed or complied with by it prior to the Closing Date.
