Accuracy of Representations by each Selling Member. All of the representations and warranties made by each Selling Member in this Agreement (considered collectively), and each of such representations and warranties (considered individually), will have been accurate in all material respects as of the date of this Agreement (except that all representations and warranties that are subject to materiality or Material Adverse Effect qualifiers shall have been accurate, subject to such qualifiers, in all respects), and will be accurate in all material respects as of the Scheduled Closing Time as if made at the Scheduled Closing Time.
