Accuracy of Representations; Performance of Agreements. and ----------------------------------------------------------- Officer's Certificate. All of the representations and warranties of Buyer --------------------- contained in this Agreement shall be true and correct in all material respects at and as of the Closing Date as if given on the Closing Date, and Buyer shall have complied with and performed all of the agreements, covenants, and conditions required by this Agreement to be performed or complied with by it on or prior to the Closing. Buyer shall have furnished Seller with a member's certificate dated as of the Closing and executed by Mediacom LLC, certifying to the fulfillment of the foregoing conditions.
