Common use of Accuracy of Representations, Warranties and Agreements Clause in Contracts

Accuracy of Representations, Warranties and Agreements. The representations and warranties made by the Seller and the Shareholder herein shall be true and correct on the date of this Agreement and at the Closing Date with the same effect as though made at such time (except to the extent the Buyer shall waive the same). The Seller and the Shareholder shall have performed and complied in all material respects with all agreements, covenants and conditions required by this Agreement to be performed and complied with by it at or prior to the Closing Date and the Seller and the Shareholder shall have delivered to the Buyer a certificate certifying to such compliance and completion.

Accuracy of Representations, Warranties and Agreements. The representations representations, warranties and warranties made by agreements of the Seller and the Shareholder Buyer herein shall be true and correct on the date of this Agreement and at the Closing Date with the same effect as though made at such time (except to the extent the Buyer shall waive the same). The Seller and the Shareholder waives the same); the Buyer shall have performed and complied with all agreements, covenants, and conditions to be performed or complied with by it in all material respects with all agreements, covenants and conditions required by this Agreement to be performed and complied with by it at or prior to the Closing Date Date; and the Buyer shall have delivered to the Seller and the Shareholder shall have delivered to the Buyer a certificate of an officer dated the Closing Date certifying to such compliance and completion.
