Accuracy of Reserve Information. The oil and gas reserve estimates of the Company and its subsidiaries for the fiscal years ended December 31, 2007, 2008 and 2009 contained in the Preliminary Prospectus and the Prospectus fairly reflect, on the basis presented, the oil and gas reserves of the Company and its subsidiaries at the dates indicated therein and are in accordance, in all material respects, with the Commission guidelines applied on a consistent basis throughout the periods involved.

The oil and gas reserve estimates of the Company and its subsidiaries for the fiscal years ended December 31, 20072004, 2008 2005 and 2009 2006 contained in the Preliminary Prospectus and the Prospectus fairly reflect, on the basis presented, the oil and gas reserves of the Company and its subsidiaries at the dates indicated therein and are in accordance, in all material respects, with the Commission guidelines applied on a consistent basis throughout the periods involved.

The natural gas and oil and gas reserve estimates of the Company and its subsidiaries for the fiscal years ended December 31, 20072004, 2008 2005 and 2009 2006 contained in the Preliminary Prospectus Time of Sale Information and the Prospectus Offering Memorandum fairly reflect, on the basis presented, the natural gas and oil and gas reserves of the Company and its subsidiaries at the dates indicated therein and are in accordance, in all material respects, with the Commission Commission’s guidelines applied on a consistent basis throughout the periods involved.
