Accuracy of the Buyer's Warranties. The Buyer's Warranties shall be true and correct in all material respects (and those qualified as to materiality shall be true and correct in all respects) as of the Execution Date and the Closing Date as though made as of such dates (unless specific dates are otherwise indicated in the text of such representations and warranties) and the Buyer shall have delivered to the Seller a certificate to that effect, dated as of such dates, and signed by the duly elected and authorized general director of the Buyer.
