Common use of Accuracy of the Company’s Representations and Warranties Clause in Contracts

Accuracy of the Company’s Representations and Warranties. The representations and warranties of the Company shall be true and correct as of the Closing Date, as of the applicable date referred to in Section 4.09 that is prior to such Transaction Date and the related Settlement Date, as the case may be, and as of each such Transaction Date and the related Settlement Date as though made at such time.

Accuracy of the Company’s Representations and Warranties. The representations and warranties of the Company shall be true and correct as of each Applicable Time, as of the Closing Date, as of the applicable date referred to in Section 4.09 that is prior to such Transaction Issuance Date and the related or Settlement Date, as the case may be, and as of each such Transaction Issuance Date and the related Settlement Date as though made at such time.

Accuracy of the Company’s Representations and Warranties. The representations and warranties of the Company shall be true and correct with the same force and effect as though expressly made at and as of the Closing Date, as of the applicable date referred to in Section 4.09 4.11 hereof that is prior to such Transaction Issuance Date and the related or Settlement Date, as the case may be, and as of each such Transaction Issuance Date and the related Settlement Date as though made at such time.

The representations and warranties of the Company contained herein and in the Master Forward Confirmation shall be true and correct as of each Applicable Time, as of the Closing Date, as of the applicable date referred to in Section 4.09 that is prior to such Transaction Date and the related Settlement Date, as the case may be, and as of each such Transaction Date and the related Settlement Date as though made at such time.

The representations and warranties of the Company set forth in Article III hereof shall be true and correct as of each Applicable Time, as of the Closing Date, as of the applicable date referred to in Section 4.09 4.08 that is prior to such Transaction Issuance Date and the related or Settlement Date, as the case may be, and as of each such Transaction Issuance Date and the related Settlement Date as though made at such time.

The representations and warranties of the Company shall be true and correct with the same force and effect as though expressly made at and as of the Closing Date, as of the applicable date referred to in Section 4.09 4.11 hereof that is prior to such Transaction Issuance Date and the related or Settlement Date, as the case may be, and as of each such Transaction Date Issuance Date, Applicable Time and the related Settlement Date as though made at such time.

The Each of the representations and warranties of the Company in this Agreement and the other Transaction Documents shall, subject to the delivery of the Schedule of Exceptions pursuant to Section 4.4, be true and correct in all material respects as of the date of the Closing, except for representations and warranties that speak as of a particular date, which shall be true and correct in all material respects as of the Closing Date, as of the applicable date referred to in Section 4.09 that is prior to such Transaction Date and the related Settlement Date, as the case may be, and as of each such Transaction Date and the related Settlement Date as though made at such timedate.
