Accuracy of the Seller's Warranties. The Seller's Warranties shall be true and correct in all material respects (and those qualified as to materiality shall be true and correct in all respects) as of the Execution Date and the Closing Date as though made as of such dates (unless specific dates are otherwise indicated in the text of such representations and warranties) and the Seller shall have delivered to the Buyer a certificate to that effect, dated as of such dates, and signed by a duly authorized officer of the Seller.
