Common use of Accuracy of Warranties and Performance of Obligations Clause in Contracts

Accuracy of Warranties and Performance of Obligations. The representations and warranties of the Buyer contained in Section 4.2 shall be true and correct as of the Closing Date as if made on such date, and the obligations set forth in Sections 5.1 and 5.3 to be performed by the Buyer on or before the Closing Date shall have been so performed in all material respects; and the Buyer shall have delivered to the Seller a certificate of its President and its Chief Financial Officer to such effect.
