Common use of Accuracy of Wire Instructions Clause in Contracts

Accuracy of Wire Instructions. With respect to each Purchased Mortgage Loan subject to a Purchase Commitment by an Agency, as applicable, (1) either the wire transfer instructions as set forth on the applicable Agency Documents are identical to Buyer’s (or, if applicable, any paying agent under any Joint Account Control Agreement) designated wire instructions or Buyer has approved such wire transfer instructions in writing in its sole discretion, or (2) either the payee number set forth on the applicable Agency Documents is identical to the payee number that has been identified by Buyer in writing as Buyer’s (or, if applicable, any paying agent under any Joint Account Control Agreement) payee number or Buyer has approved the related payee number in writing in its sole discretion. With respect to each Pooled Mortgage Loan, the applicable Agency Documents are duly executed by it and designate Buyer or its designee (or the Securities Intermediary under the Joint Securities Account Control Agreement) as the party authorized to receive the related Mortgage-Backed Securities.

With respect to each Purchased Related Mortgage Loan subject to a Purchase Commitment by an Agency, as applicable, either (1) either the wire transfer instructions as set forth on the settlement documents applicable for such Agency Documents are identical to Buyer’s (or, if applicable, any paying agent or the Account Bank under any the Joint Securities Account Control Agreement) designated wire instructions or Buyer has approved such wire transfer instructions in writing in its sole and absolute discretion, or (2) either the payee number set forth on the settlement documents applicable for such Agency Documents is identical to the payee number that has been identified by Buyer in writing as Buyer’s (or, if applicable, any paying agent or the Account Bank under any the Joint Securities Account Control Agreement) payee number or Buyer has approved the related payee number in writing in its sole and absolute discretion. With respect to each Pooled Mortgage Loan, the applicable documents required for such Agency Documents settlement are duly executed by it and designate Buyer or its designee (or the Securities Intermediary under the Joint Securities Account Control Agreement) as the party authorized to receive the related Mortgage-Backed Securities.
