Accurate and Complete Disclosure; Continuing Representations and Warranties. No representation or warranty made by the Borrower under this Agreement or any of the other Loan Documents and no statement made by any Loan Party in any financial statement (furnished pursuant to Section 3.08 or 5.01 or otherwise), certificate, report, exhibit or document furnished by a Loan Party to the Lender pursuant to or in connection with this Agreement is false or misleading in any material respect (including by omission of any information necessary to make such representation, warranty or statement not misleading). No Loan Party is aware of any facts which have not been disclosed to the Lender in writing by or on behalf of a Loan Party which would have a Material Adverse Effect. The representations and warranties set forth herein are to survive the delivery of the Loan Documents and the making of the Loans hereunder.

No Loan Party is aware of any facts which have not been disclosed to the Lender Bank in writing by or on behalf of a Loan Party which would have a Material Adverse Effect. The representations and warranties set forth herein are to survive the delivery of the Loan Documents and Documents, the making of the Loans and the issuance of the Letters of Credit hereunder.
