To the knowledge of the Corporation, there is no material fact or material change (as those terms are defined under applicable securities laws) affecting the Corporation or its Subsidiaries required to have been disclosed under applicable securities laws that has not been disclosed to the public in accordance with applicable securities laws. For clarity, there currently exists no confidential filing of the Corporation or its Subsidiaries with any securities regulators and the Corporation has not provided any non-public material information to the Investor. There exists no Material Adverse Effect.
