Common use of Acknowledgement and Reaffirmation Clause in Contracts

Acknowledgement and Reaffirmation. By its execution hereof, each Borrower hereby expressly (a) acknowledges and agrees to the terms and conditions of this Amendment, (b) reaffirms all of its respective covenants, representations, warranties and other obligations set forth in the Loan Agreement and the other Loan Documents to which it is a party and (c) acknowledges that its respective covenants, representations, warranties and other obligations set forth in the Loan Agreement and the other Loan Documents to which it is a party remain in full force and effect.

Acknowledgement and Reaffirmation. By its execution hereof, each Borrower Loan Party hereby expressly (a) acknowledges and agrees to the terms and conditions of this Amendment, (b) reaffirms all of its respective covenants, representations, warranties and other obligations set forth in the Loan Agreement and the other Loan Documents to which it is a party and (c) acknowledges that its respective covenants, representations, warranties and other obligations set forth in the Loan Agreement and the other Loan Documents to which it is a party remain in full force and effect.

By its their execution hereof, each the Borrower hereby expressly (a) acknowledges consents to this Amendment and agrees to the terms and conditions of this Amendment, (b) reaffirms all of its respective acknowledges that the Borrower's covenants, representations, warranties and other obligations set forth in the Loan Agreement Credit Agreement, the Notes and the other Loan Documents to which it the Borrower is a party and (c) acknowledges that its respective covenants, representations, warranties and other obligations set forth in the Loan Agreement and the other Loan Documents to which it is a party remain remains in full force and effect.

Acknowledgement and Reaffirmation. 8.1 By its execution hereof, each Borrower of the Borrower, Holdings and the other Loan Parties hereby expressly (a) acknowledges and agrees to the terms and conditions of this Amendment, (b) reaffirms all of its respective covenants, representations, warranties and other obligations set forth in the Loan Credit Agreement and the other Loan Documents to which it is a party party, and (c) acknowledges that its respective covenants, representations, warranties and other obligations set forth in the Loan Credit Agreement and the other Loan Documents to which it is a party remain in full force and effect.

Acknowledgement and Reaffirmation. By its execution hereof, each Borrower hereby Borrower: expressly (ai) acknowledges and agrees consents to the terms and conditions of amendments set forth in this Amendment, (bii) reaffirms all of its respective covenants, representations, warranties and other obligations set forth in the Loan Agreement Agreement, the Schedule, and the other Loan Documents to which it is a party and (ciii) acknowledges acknowledges, represents and agrees that its respective covenants, representations, warranties and other obligations set forth in the Loan Agreement Agreement, the Schedule, and the other Loan Documents to which it is a party remain in full force and effect.
