Common use of Acknowledgement of Declared Distribution Clause in Contracts

Acknowledgement of Declared Distribution. Buyer acknowledges that, prior to the Closing, the Company declared a cash distribution to the Company’s then-current Members (as defined in the Company Agreement) in an aggregate amount equal to $762,104.64 (the “Pre-Closing Distribution”). Buyer shall cause the Company to effect the Pre-Closing Distribution in accordance with that certain Written Consent of the Managers, dated as of November 15, 2017.
