Acknowledgement of Necessity of Restrictions. The Employee Shareholders and the Company agree and acknowledge that the restrictions on the issuance, transfer and encumbrance of Employee Shares of the Company imposed by this Agreement are imposed to accomplish legitimate purposes of the Company, and that such restrictions are not more restrictive than necessary to accomplish those purposes.
