It is acknowledged by each of the parties that the Stockholder Representative and the Company have retained Xxxxxx Xxxxxx LLP (“Schiff”) to act as their counsel in connection with this Agreement, the Ancillary Documents, the Confidentiality Agreement or any transaction contemplated hereby (the “Current Representation”), and that no other party to this Agreement has the status of a client of Schiff for conflict of interest or any other purposes as a result thereof.
