Acknowledgment of Representation by Counsel. The Parties acknowledge that they have been represented by counsel or knowingly waive their right to be represented by counsel with regard to this Agreement and the subject matter hereof. Each Party agrees and acknowledges that he or it has not relied upon any tax advice, legal counsel or business advice provided by the other Party.
