Common use of Acknowledgments of Guarantor Clause in Contracts

Acknowledgments of Guarantor. Guarantor hereby acknowledges (a) the execution and delivery of this Amendment by Seller and Buyer and agrees that it continues to be bound by that certain Guarantee Agreement, dated as of August 20, 2015 (the “Guarantee Agreement”), made by Guarantor in favor of Buyer, notwithstanding the execution and delivery of this Amendment and the Fee Letter Amendment and the impact of the changes set forth herein and therein, and (b) that, to its Knowledge, as of the date hereof, Buyer is in compliance with its undertakings and obligations under the Repurchase Agreement, the Guarantee Agreement and each of the other Transaction Documents.

Acknowledgments of Guarantor. Guarantor hereby acknowledges (a) the execution and delivery of this Amendment by Seller and Buyer and agrees that it continues to be bound by that certain Guarantee Agreement, dated as of August 20June 18, 2015 2014 (the “Guarantee Agreement”), made by Guarantor in favor of Buyer, notwithstanding Buyer to the execution and delivery of this Amendment and the Fee Letter Amendment and the impact extent of the changes set forth herein Obligations (as defined therein), as such obligations may be increased in connection with the temporary increase of the maximum facility size, and thereinotherwise modified, pursuant to this Amendment, and (b) that, to its Knowledge, as of the date hereof, Buyer is in compliance with its undertakings and obligations under the Repurchase Agreement, the Guarantee Agreement and each of the other Transaction Documents.

Guarantor hereby acknowledges (a) the execution and delivery of this Amendment by Seller and Buyer and agrees that it continues to be bound by that certain Amended and Restated Guarantee Agreement, dated as of August 20May 4, 2015 2018 (the “Guarantee Agreement”), made by Guarantor in favor of Buyer, notwithstanding the execution and delivery of this Amendment and the Fee Letter Amendment and the impact of the changes set forth herein and therein, and (b) that, to its Knowledge, as of the date hereof, Buyer is in compliance with its undertakings and obligations under the Repurchase Agreement, the Guarantee Agreement and each of the other Transaction Documents.

Guarantor hereby acknowledges (a) the execution and delivery of this Amendment by Seller and Buyer and agrees that it continues to be bound by that certain Guarantee Agreement, dated as of August 20February 5, 2015 2014 (the “Guarantee Agreement”), made by Guarantor in favor of Buyer, notwithstanding Buyer to the execution and delivery of this Amendment and the Fee Letter Amendment and the impact extent of the changes set forth herein and Obligations (as defined therein), as such obligations may be increased in connection with the addition of Sellers under the Repurchase Agreement pursuant to this Amendment, and (b) that, to its Knowledge, as of the date hereof, Buyer is in compliance with its undertakings and obligations under the Repurchase Agreement, the Guarantee Agreement and each of the other Transaction Documents.

Acknowledgments of Guarantor. Guarantor hereby acknowledges acknowledges (a) the execution and delivery of this Amendment by Seller and Buyer and agrees that it continues to be bound by that certain Amended and Restated Guarantee Agreement, dated as of August 20June 12, 2015 2017 (the “Guarantee Agreement”), made by Guarantor in favor of Buyer, notwithstanding Buyer to the execution and delivery of this Amendment and the Fee Letter Amendment and the impact extent of the changes set forth herein and Obligations (as defined therein), as such obligations may be modified, pursuant to this Amendment, and (b) that, to its Knowledge, as of the date hereof, Buyer is in compliance with its undertakings and obligations under the Repurchase Agreement, the Guarantee Agreement and each of the other Transaction Documents.

Acknowledgments of Guarantor. Guarantor hereby acknowledges (a) the execution and delivery of this Amendment by Seller and Amendment No. 1 to the Fee and Pricing Letter, dated as of the date hereof, between Buyer and Seller, and agrees that it continues to be bound by that certain the Guarantee Agreement, dated Agreement to the extent of the Obligations (as of August 20, 2015 (the “Guarantee Agreement”defined therein), made by Guarantor as such obligations may be increased in favor of Buyer, notwithstanding connection with the execution and delivery of this Amendment and the Fee Letter Amendment and the impact extension of the changes set forth herein and thereinFunding Period pursuant to this Amendment, and (b) that, to its Knowledge, as of the date hereof, Buyer is in compliance with its undertakings and obligations under the Repurchase Agreement, the Guarantee Agreement and each of the other Transaction Repurchase Documents.

Guarantor hereby acknowledges (a) the execution and delivery of this Amendment by Seller and Buyer and agrees that it continues to be bound by that certain Guarantee Agreement, dated as of August 20, 2015 (the “Guarantee Agreement”), made by Guarantor in favor of Buyer, notwithstanding the execution and delivery of this Amendment and the Fee Letter Amendment and the impact of the changes set forth herein and therein, and (b) that, to its Knowledge, as of the date hereof, Buyer is in compliance with its undertakings and obligations under the Repurchase Agreement, the Guarantee Agreement and each of the other Transaction Documents.

Guarantor hereby acknowledges (a) the execution and delivery of this Amendment by Seller and Buyer and agrees that it continues to be bound by that certain Guarantee Agreement, dated as of August 20February 5, 2015 2014 as amended by that certain Amendment No. 1 to Guarantee Agreement, dated as of December 23, 2014 (the “Guarantee Agreement”), made by Guarantor in favor of Buyer, notwithstanding the execution and delivery of this Amendment and the Fee Letter Amendment and the impact of the changes set forth herein and thereinherein, and (b) that, to its Knowledge, as of the date hereof, Buyer is in compliance with its undertakings and obligations under the Repurchase Agreement, the Guarantee Agreement and each of the other Transaction Documents.
