Acquiring Services. In return for the Fees related to Acquiring Services, we shall supply you with the Acquiring Services in accordance with this Agreement, with reasonable care and skill, and in compliance with Applicable Law and the Network Rules.

BlueSnap has entered into a separate agreement with Servicers (“Servicers Agreement”) under which Servicers will provide similar acquiring services (“Servicer Services”) to BlueSnap for BlueSnap to resell to BlueSnap’s sub- merchants, including Sub-Merchant.

Acquiring Services. 20.1. To apply for acquiring services, which, for the purposes of the agreement, includes activities that are about completing payment transactions, cash withdrawals and other operations by electronic and technical devices (including physical POS terminal, ATM) based on the contract signed with the client (merchant), the client applies to the bank by designated written application. 20.2. The bank will review the client's application, and in case of a positive decision, a corresponding agreement on the provision of acquiring services will be signed between the client and the bank in accordance with the law. 20.3. The cost of acquiring services is determined in accordance with the agreement on acquiring services or the bank's rates, at the discretion of the bank.

Acquiring Services opening an Account 2.1. If you are engaging us (or a Partner, as applicable) to provide Acquiring Services, when you apply for a Judopay Account we will ask you to provide some information about your business as part of our KYC process. This is a compliance requirement imposed by the Card Schemes, Government Regulations, and our regulated Partners. The information you will be asked to provide includes, but is not limited to, your legal business name, your company trading name, your address, your website URL, the nature of your business activity and a description of the Purpose. 2.2. You will provide on the first request from Judopay and within five (5) Business Days any documentation or information related to the KYC process. 2.3. We may also request personal information from your ultimate beneficial owners (i.e. those holding 25% or more of the voting rights in your business), Authorised Signatories and directors including details like their full name, passport number, birth date, and residential address. You warrant and represent, unconditionally, that all information provided to us concerning your Application is correct, complete and up to date. 2.4. You will notify us in writing of any changes to the information supplied in accordance with the preceding clauses during the Term as soon as possible, and no later than ten (10) Business Days from the date of such change. We may suspend your Account if you fail to keep this information updated. 2.5. At any time during the Term, we may require additional information from you to verify the ownership of your business and validate the information you provided. Unless otherwise stated, you agree to provide this information within three Business Days of receipt of a request from us. 2.6. You acknowledge that, in some cases, such changes in information may lead to a rejection of your Account (by us or our Partners) and thus a suspension or termination of your Account with us. 2.7. Judopay’s acceptance of your Application will be subject to final approval from our Partners. For the avoidance of doubt, Judopay shall not be liable to you, under any circumstances, if your Application is rejected by us or any of our Partners. 2.8. Judopay will inform you about the acceptance of your Account at which point we will notify you of your Merchant Identification Number (MID) and we will be able to start providing you with the Services. 2.9. Acquiring Services. Acquiring of Payment Transactions 5.1. We undertake to acquire all valid Transactions submitted to us from you in accordance with the Agreement. 5.2. We will support the acceptance of Card Present Transaction and Card Not Present Transactions (e-commerce, MO/TO, and Recurring Transactions and other Transactions with stored credentials). 5.3. We need to agree explicitly on the acceptance of each type of Transaction. 5.4. We will settle your Payment Transactions through the Payment System of the respective Card Scheme (VisaNet / Mastercard Interchange System). 5.5. In some circumstances the Card Issuer will have the right under the Standards to refuse to settle a payment or to request a reimbursement from us of a payment which has already been settled. In either case, the relevant amount is referred to as a ‘chargeback’. Such circumstances can be: (i) the Cardholder denies authorising Card Not Present Transaction;
Acquiring Services. Worldline will provide the Acquiring Services under the terms of this Agreement which comprises the following: – Processing of electronic payment transactions made with an elec- tronic debit payment Card including the transfer of settlement of the underlying funds on an account with the payment service provider of the payment service user or with another debit Card acquiring trans- action; – Processing of payment transactions made with an electronic credit payment Card where the funds are covered by a credit line granted to the payment service user; – Capturing electronic payment transactions, including cash advances/ disbursements, made with a Card from physical point-of-sale termi- nals (including unattended acceptance terminals), virtual point-of- sale terminals or e-commerce; and – Submitting such electronic payment transactions to the relevant Card issuing bank or Card Scheme for clearing and settlement, with settlement taking place between Worldline and the relevant Mer- chant.
