Offering Services. The Manager shall manage and supervise:
(i) the development of any offering of Shares that is qualified or registered with the Commission (an “Offering”), including the Company’s initial Offering pursuant to Regulation A, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents;
(ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering;
(iii) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions;
(iv) the creation and implementation of various technology and electronic communications related to an Offering; and
(v) all other services related to an Offering.
Offering Services. The Advisor shall manage and supervise:
(i) Development of the Initial Public Offering and any subsequent or simultaneous Offering approved by the Board, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents;
(ii) Along with the Dealer Manager, approval of the participating broker-dealers and negotiation of the related selling agreements;
(iii) Coordination of the due diligence process relating to participating broker-dealers and their review of the Registration Statement and other Offering and Company documents;
(iv) Preparation and approval of all marketing materials contemplated to be used by the Dealer Manager or others relating to the Offering;
(v) Along with the Dealer Manager, negotiation and coordination with the transfer agent for the receipt, collection, processing and acceptance of subscription agreements, commissions, and other administrative support functions;
(vi) Creation and implementation of various technology and electronic communications related to the Offering; and
(vii) All other services related to the Offering, other than services that (a) are to be performed by the Dealer Manager, (b) the Company elects to perform directly or (c) would require the Advisor to register as a broker-dealer with the SEC, FINRA or any state.
Offering Services. The Advisor shall manage and supervise:
(i) Development of the product offering, including the determination of the specific terms of the Securities to be offered by the General Partner and/or the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents;
(ii) Along with the Managing Dealer, approval of the participating broker dealers and negotiation of the related selling agreements;
(iii) Coordination of the due diligence process relating to participating broker dealers and their review of any Prospectus and other Offering and Company documents;
(iv) Preparation and approval of all marketing materials contemplated to be used by the Managing Dealer or others in the Offering of the General Partner’s Securities;
(v) Along with the Managing Dealer, negotiation and coordination with the transfer agent for the receipt, collection, processing and acceptance of subscription agreements, commissions, and other administrative support functions;
(vi) Creation and implementation of various technology and electronic communications related to the Offering of the General Partner’s Securities; and
(vii) All other services related to organization of the Company or the Offering, whether performed and incurred by the Advisor or its Affiliates.
Offering Services. The Manager shall manage and supervise the:
(i) Initial Public Offering and any subsequent Offerings approved by the Board, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents;
(ii) preparation and approval of all marketing materials contemplated to be used by the Manager or others relating to any Offering;
(iii) negotiation and coordination with the transfer agent for the receipt, collection, processing and acceptance of subscription agreements, commissions, and other administrative support functions;
(iv) creation and implementation of various technology and electronic communications related to any Offering; and
(v) all other services related to an Offering, other than services that the Company elects to perform directly or would require the Manager to register as a broker-dealer with the SEC, FINRA or any state.
Offering Services. The Advisor shall manage and supervise, in connection with any Public Offering:
(i) the development of the Initial Public Offering and any subsequent Public Offering approved by the Board, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents;
(ii) along with the Dealer Manager, the approval of the Participating Dealers and negotiation of the related selling agreements;
(iii) along with the Dealer Manager, the coordination of the due diligence process relating to Participating Dealers and their review of the Registration Statement and other Public Offering documents;
(iv) along with the Dealer Manager, the preparation of all marketing materials contemplated to be used by the Dealer Manager or others relating to any Public Offering;
(v) along with the Dealer Manager, the negotiation and coordination with the transfer agent for the receipt, collection, processing and acceptance of subscription agreements, commissions, and other administrative support functions;
(vi) along with the Dealer Manager, the creation and implementation of various technology and electronic communications related to any Public Offering; and
(vii) all other services related to any Public Offering, other than services that (a) are to be performed by the Dealer Manager, (b) the Company elects to perform directly or (c) would require the Advisor to register as a broker-dealer with the SEC, FINRA or any state.
Offering Services. (i) Oversee the preparation and execution of public and private offerings of equity and debt, determination of the specific terms of the securities to be offered by NRF or its subsidiaries, preparation of all offering and related documents and obtaining all required regulatory approvals of such documents;
(ii) Identify and negotiate with underwriting firms;
(iii) Coordinate the due diligence process relating to participating underwriting firms and their review of any registration statement and/or other offering and NRF documents;
(iv) Coordinate the preparation of and approve investor reports and other materials contemplated to be used in the offerings;
(v) Negotiate and coordinate with the transfer agent; and
(vi) Perform all other services related to any offering, other than services that (a) are to be performed by the underwriters, (b) NRF elects to perform directly or (c) would require Asset Manager to register as a broker-dealer with the SEC, FINRA or any state.
Offering Services. The Manager shall manage and supervise:
(a) the development of any offering of shares that is qualified, registered, or exempt from registration with the Commission (an “Offering”), including the determination of the specific terms of the securities to be offered by the Fund, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents;
(b) the preparation and approval of all marketing materials to be used by the Fund or others relating to an Offering;
(c) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions;
(d) the creation and implementation of various technology and electronic communications related to an Offering; and
(e) all other services related to an Offering, other than services the Fund elects to perform directly or would require the Manager to register as a broker-dealer with the Commission, FINRA or any state.
Offering Services. The Adviser shall manage and supervise:
(i) Development of the Initial Public Offering and any subsequent or simultaneous Offering approved by the Board, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents;
(ii) Coordination of the due diligence process relating to participating broker-dealers or other financial intermediaries and their review of any registration statement and other Offering and Company documents;
(iii) Preparation and approval of marketing materials contemplated to be used by the Dealer Manager or others relating to any Offering;
(iv) Along with the Dealer Manager, negotiation and coordination with the transfer agent of the receipt, collection, processing and acceptance of subscription agreements, commissions, and other administrative support functions;
(v) All other services related to any Offering, other than services that (a) relate to the underwriting, distribution or sale of securities of the Company in any Offering, (b) are to be performed by the Dealer Manager, (c) the Company elects to perform directly or (d) would require the Adviser to register as a broker-dealer with the SEC, FINRA or any state.
Offering Services. As the Company's exclusive marketing agent, GCP will provide the Company with a comprehensive program of services designed to promote an orderly equity distribution. GCP will provide financial and logistical advice to the Company concerning the Offering and related issues. Such services shall include those listed in Exhibit A, which is attached hereto and made a part hereof for all purposes. We propose that the pricing of the Common Stock be $0.36 per share, unless otherwise determined by the Company.

(iv) Preparation and approval of all marketing materials contemplated to be used by the Dealer Manager or others in the Offering of the Company’s Securities;
(v) Along with the Dealer Manager, negotiation and coordination with the transfer agent for the receipt, collection, processing and acceptance of subscription agreements, commissions, and other administrative support functions;
(vi) Creation and implementation of various technology and electronic communications related to the Offering of the Company’s Securities; and
(vii) All other services related to organization of the Company or the Offering, whether performed and incurred by the Advisor or its Affiliates.
