Common use of Acquiror's Debt Clause in Contracts

Acquiror's Debt. Acquiror shall have in place debt with an initial aggregate principal balance equal to the amount of Acquiror debt guaranteed by Willxxx X. Xxxxxxx xxxs the lesser of: (A) $45,000,000 and (B) the aggregate negative capital account balances of the DeBoxx Xxxiliated Partnerships from which Acquiror acquires Residence Inn Hotels pursuant to this Agreement or the Other Contribution Agreements. The amount of such debt may be reduced as provided in Section 7.2.
