Acquisition and Disposition Services. The Advisor shall (or shall retain other Persons to (but shall remain responsible to the Company)): (A) Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Properties, investment objectives and policies; (B) Subject to the investment objectives and policies of the Company: (a) locate, analyze and select potential Investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Targeted Assets and other Investments will be made; (c) acquire, originate and dispose of Targeted Assets and other Investments on behalf of the Company (including through Joint Ventures); (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Targeted Assets and other Investments; (e) select Joint Venture partners and structure corresponding agreements; and (f) enter into leases, service contracts and other agreements for Targeted Assets and other Investments; (C) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (D) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Board of the Company to evaluate the proposed investments; (E) Obtain reports, where appropriate, concerning the value of the Properties; (F) Deliver to, or maintain on behalf of the Company, copies of all appraisals obtained in connection with the Properties; (G) Negotiate and execute approved investments and other transactions, including acquisitions of Targeted Assets and other Investments; and (H) Consult with the Company’s officers and the Board and provide assistance with the evaluation and approval of potential Investment dispositions, sales and refinancing, including reports to the Board regarding the foregoing.

(Bii) Subject to Section 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential Investmentsinvestments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Targeted Assets Properties, Loans and other Permitted Investments will be made; and (c) acquire, originate and dispose of Targeted Assets Properties, Loans and other Permitted Investments on behalf of the Company (including through Joint Ventures); (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Targeted Assets and other Investments; (e) select Joint Venture partners and structure corresponding agreements; and (f) enter into leases, service contracts and other agreements for Targeted Assets and other InvestmentsCompany;
(Ciii) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work;
(Div) Prepare With respect to prospective investments presented to the Board, prepare reports regarding such prospective investments that include recommendations and supporting documentation necessary for the Board of the Company Directors to evaluate the proposed investments;
(Ev) Obtain reportsreports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the PropertiesCompany;
(Fvi) Deliver to, to or maintain on behalf of the Company, Company copies of all appraisals obtained in connection with the Properties;Company’s investments; and
(Gvii) Negotiate and execute approved investments and other transactions, including acquisitions of Targeted Assets prepayments, maturities, workouts and other settlements of Loans and other Permitted Investments; and
(H) Consult with the Company’s officers and the Board and provide assistance with the evaluation and approval of potential Investment dispositions, sales and refinancing, including reports to the Board regarding the foregoing.
