Common use of Acquisition, Delivery, Installation and Acceptance of Equipment Clause in Contracts

Acquisition, Delivery, Installation and Acceptance of Equipment. (a) Lessee shall order the Equipment to be acquired and financed hereunder, cause the Equipment to be delivered and installed at the location specified in the Equipment Schedule and pay any and all delivery and installation costs and other Equipment Costs in connection therewith. When the Equipment has been delivered and installed, Lessee shall promptly accept such Equipment and evidence said acceptance by executing and delivering Disbursement Requests to the Lessor pursuant to the Escrow Agreement for the purpose of effecting disbursements from the Escrow Account to pay (or reimburse) Equipment Costs for the Equipment so acquired and installed. In connection with the execution and delivery by Lessee to Lessor of the final Disbursement Request, Lessee shall deliver to Lessor a “Final Acceptance Certificate” in the form attached hereto as Exhibit E. (b) Lessee shall deliver to Lessor together with each Disbursement Request copies of invoices (and proof of payment of such invoices if Xxxxxx seeks reimbursement for prior expenditures) and bills of sale or other evidence of title transfer to Lessee relating to each item of Equipment accepted by Lessee as evidenced by such Disbursement Request. Once approved, Lessor shall deliver such Disbursement Request to the Escrow Agent for disbursement from the Escrow Account in accordance with the Escrow Agreement.

(a) With respect to each Lease, Lessee shall order the Equipment to be acquired and financed hereunderthereunder, cause the Equipment to be delivered and installed at the location or locations specified in the Equipment Schedule such Lease and pay any and all delivery and installation costs and other Equipment Costs in connection therewith. When Upon the occurrence of Equipment Acceptance with respect to the Equipment has been delivered and installedlisted in a Lease, Lessee shall promptly accept such Equipment and evidence said acceptance by executing and delivering to Lessor an Acceptance Certificate in the form attached hereto as Exhibit D; provided, however, that if an Escrow Account has been established with respect to such Lease as provided in Section 3.04 hereof, Lessee shall deliver Disbursement Requests to the Lessor Escrow Agent pursuant to the related Escrow Agreement for the purpose of effecting disbursements from the Escrow Account to pay (or reimburse) Equipment Costs for the Equipment so acquired and installed. In connection with the execution and delivery by Lessee pursuant to Lessor of the final Disbursement Request, Lessee shall deliver to Lessor a “Final Acceptance Certificate” in the form attached hereto as Exhibit E.such Lease. (b) Lessee shall deliver to Lessor together Lessor, or to an Escrow Agent if an Escrow Account has been established with each Disbursement Request copies of respect to the related Lease, original invoices (and proof of payment of such invoices if Xxxxxx Lessee seeks reimbursement for prior expenditures) and bills of sale or other evidence of (if title transfer to Lessee such Equipment has passed to Lessee) relating to each item of Equipment accepted by Lessee as evidenced by such Disbursement RequestLessee. Once approvedWith respect to Equipment not purchased through an Escrow Account, Lessor shall, upon receipt of the Acceptance Certificate from Lessee, prepare an Equipment Schedule and Payment Schedule in the forms attached hereto as Exhibits A and B, respectively. Lessee shall execute and deliver to Lessor such Disbursement Request Equipment Schedule and Payment Schedule as a Schedule pursuant to Section 3.04(a)(i) within 5 business days of receipt, subject to satisfaction of the Escrow Agent for disbursement from the Escrow Account conditions set forth in accordance with the Escrow AgreementSection 3.04.

Lessee shall conduct such inspection and testing of the Equipment as it deems necessary and appropriate in order to determine the Equipment’s capability and functionality in order to accept such Equipment. When the Equipment has been delivered and installed, Lessee shall promptly accept such Equipment and evidence said acceptance by executing and delivering Disbursement Requests to the Lessor pursuant to the Escrow Agreement for the purpose of effecting disbursements from the Escrow Account to pay (or reimburse) Equipment Costs for the Equipment so acquired and installed. In connection with the execution and delivery by Lessee to Lessor of the final Disbursement Request, Lessee shall deliver to Lessor a “Final Acceptance Certificate” in the form attached hereto as Exhibit E.
