Acquisition of the Shares for Investment. The Shares purchased by the Buyer pursuant to this Agreement are being acquired for investment only and not with a view to any public distribution thereof, and the Buyer shall not offer to sell or otherwise dispose of such Shares in violation of any of the registration requirements of the Securities Act or any comparable state or foreign securities laws.

The Buyer is acquiring the Shares purchased by the Buyer pursuant to this Agreement are being acquired for investment purposes only and not with a view to any public distribution thereof, and present intention of distributing or selling the Buyer shall not offer to sell or otherwise dispose of such Shares in violation of any of the registration requirements of the Securities Act federal or any comparable state or foreign securities laws; provided, however, that the right of Buyer to dispose of its property and assets as and when it deems appropriate shall not be limited by the foregoing.
