Acquisition; Purchase Price; Closing Deliveries. Subject to the terms and conditions hereof, Seller shall sell, convey, deliver and transfer to Purchaser in accordance with the terms of Section 2.2, and Purchaser shall so purchase, the LLC Interests and at the Closing or when otherwise specified in this Section 2.2 and, in furtherance thereof, Purchaser and Seller shall make the following deliveries:
