Acquisition Subsidiaries. On or before the Closing Date, the Purchaser may designate (by written notice to the Sellers) one or more of its subsidiaries (each an "Acquisition Subsidiary") to receive all or part of the Assets and to assume the Assumed Liabilities; provided, however, that such designation shall not obviate the Purchaser's obligations hereunder.

Acquisition Subsidiaries. Prior to the date on which Buyer and the Sellers make the filing with Agencia Nacional de Telecomunicacoes ("ANATEL") contemplated by Section 5.01(a) hereof, Buyer may designate (by written notice to Parent) one or more of its Subsidiaries to receive all or any part of the Shares; provided, however, that any such designation shall not vitiate Buyer's obligations hereunder.
