Common use of Acting Jointly or in Concert Clause in Contracts

Acting Jointly or in Concert. For the purposes hereof, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, with the first Person or any Affiliate thereof, acquires or offers to acquire Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as who is a result of any party to an agreement, commitment or understanding, whether formal or informal, with the first Person or any Associate or Affiliate thereof, acquires or offers of the first Person to acquire or make an Offer to Acquire Voting Shares of the Corporation (other than customary agreements with and between underwriters and/or or banking group members and/or or selling group members with respect to a public offering or private placement distribution of securities or pledges to a pledge of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, understanding whether formal or informal, with the first Person or any Affiliate thereofPerson, acquires or offers to acquire Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as who is a result of any party to an agreement, commitment or understanding, whether formal or informalinformal and whether or not in writing, with the first Person or any Associate or Affiliate thereof, acquires or offers of the first Person to acquire or make an Offer to Acquire Voting Shares (other than customary agreements with and between underwriters and/or or banking group members and/or or selling group members with respect to a public offering or private placement distribution of securities or pledges to a pledge of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereof, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, and whether or not in writing, with the first Person or any Affiliate thereof, acquires or offers to acquire Voting Shares (other than (i) customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or and (ii) pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereofpurpose of this Agreement, a Person is acting jointly or in concert with every another Person who, as a result of if such Person has any agreement, commitment arrangement or understanding, understanding (whether formal or informal, informal and whether or not in writing) with such other Person for the first Person purpose of acquiring or Offering to Acquire any Affiliate thereof, acquires or offers to acquire Voting Shares (other than customary agreements with and between underwriters and/or and banking group members and/or or selling group members with respect to a public an offering or private placement of securities or and other than bona fide pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as other person who is a result of party to any agreement, commitment to acquire or understanding, whether formal or informal, with the first Person or any Affiliate thereof, acquires or offers offer to acquire Voting Shares (other than customary agreements with and between underwriters and/or and banking group members and/or or selling group members with respect to the distribution of securities pursuant to a public offering prospectus or by way of private placement of securities or and other than pursuant to pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereof, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, with the first Person or any Affiliate thereof, acquires or offers to acquire Voting Shares or securities convertible into Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereof, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, and whether or not in writing, with the first Person or any Affiliate thereof, acquires or offers to acquire Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as who is a result of any party to an agreement, commitment or understanding, whether formal or informal, with the first Person or any Associate or Affiliate thereof, acquires for the purpose of acquiring or offers offering to acquire Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members in connection with respect a distribution of securities of the Corporation pursuant to a public offering prospectus or by way of private placement of securities or pledges of securities in the ordinary course of businessplacement).

For the purposes hereof, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, written or unwritten, with the first Person or any Affiliate thereof, acquires or offers to acquire Voting Shares or Convertible Securities (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereofof this Agreement, a Person is acting jointly or in concert (a) with every Person who, as who is a result of any party to an agreement, commitment or understanding, whether formal or informal, with the first Person or any Affiliate thereof, acquires or offers to acquire Voting or make an Offer to Acquire Common Shares and/or Convertible Securities (other than customary agreements with and between underwriters and/or or banking group members and/or or selling group members with respect to a public offering or private placement distribution of securities or pledges to a pledge of securities in the ordinary course of business), and (b) all of their respective Affiliates and Associates.

Acting Jointly or in Concert. For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as who is a result of any party to an agreement, commitment or understanding, whether formal or informal, with the first Person or any Associate or Affiliate thereof, acquires thereof to acquire or offers offer to acquire Voting Shares (other than customary agreements with and between underwriters and/or or banking group members and/or or selling group members with respect to a public offering or private placement distribution of securities or pledges to a pledge of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, with the first Person or any Affiliate thereofPerson, acquires or offers to acquire Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as who is a result of party to any agreement, commitment or understanding, whether formal or informal, with the first Person or any Associate or Affiliate thereof, acquires thereof to acquire or offers offer to acquire Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

For the purposes hereof, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, with the first Person or any Associate or Affiliate thereof, acquires or offers to acquire Voting Shares (other than (x) customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a bona fide public offering or private placement of securities or and (y) bona fide pledges of securities in the ordinary course of business).
