Common use of Acting Jointly or in Concert Clause in Contracts

Acting Jointly or in Concert. For purposes of this Agreement a Person is acting jointly or in concert with every Person who is a party to an agreement, commitment, arrangement or understanding, whether formal or informal or written or unwritten, with the first Person to acquire or Offer to Acquire any Voting Shares or Convertible Securities (other than (x) customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a distribution of securities by the Company, (y) pledges of securities in the ordinary course of business, and (z) Permitted Lock-Up Agreements).

Acting Jointly or in Concert. For purposes of this Agreement a Person is acting jointly or in concert with every Person who is a party to an agreement, commitment, arrangement or understanding, whether formal or informal or written or unwritten, with the first Person to acquire or Offer to Acquire any Voting Shares or Convertible Securities (other than than: (xa) customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a distribution of securities by the Company, Corporation; (yb) pledges of securities in the ordinary course of business, ; and (zc) Permitted Lock-Up Agreements).
