Common use of Acting Jointly or in Concert Clause in Contracts

Acting Jointly or in Concert. For the purposes of this Agreement, a Person is acting jointly or in concert with every Person who is a party to any agreement, commitment or understanding, whether formal or informal, with the first Person or any Associate or Affiliate thereof to acquire or offer to acquire Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes of this Agreement, a Person is acting jointly or in concert with every Person who is a party to any an agreement, commitment or understanding, whether formal or informal, with the first Person or any Associate or Affiliate thereof of the second Person to acquire or offer to acquire make an Offer to Acquire Voting Shares of the Corporation (other than customary agreements with and between underwriters and/or or banking group members and/or or selling group members with respect to a public offering or private placement distribution of securities or pledges to a pledge of securities in the ordinary course of business).
