Action by an Agent Sample Clauses

The "Action by an Agent" clause defines the authority and scope under which an agent may act on behalf of a principal in contractual or legal matters. Typically, this clause outlines the specific actions an agent is permitted to take, such as signing documents, making decisions, or representing the principal in negotiations, and may set limits or require certain conditions to be met before the agent acts. Its core practical function is to clarify the extent of the agent's power, thereby reducing ambiguity and potential disputes about whether the agent's actions are legally binding on the principal.

Each Agent may execute any of its duties under this Agreement and the other Loan Documents by or through agents or attorneys-in-fact (including the Collateral Agent in the case of the Administrative Agent), and shall be entitled to advice of counsel concerning all matters pertaining to such duties.
