Common use of Action by Authority Clause in Contracts

Action by Authority. Following service of such notice, the Authority shall (itself and/or through a third party) take such action as notified under clause 47.2 (Notice to the Contractor) and any consequential additional action as it reasonably believes is necessary (together, the "Required Action") and the Contractor shall (and shall procure that the sub-contractors shall) give all reasonable assistance to the Authority while it is taking the Required Action. The Authority shall provide the Contractor with notice of completion of the Required Action and shall use reasonable endeavours to provide such advance notice as is reasonably practicable of its anticipated completion. Where the Required Action has been taken otherwise than as a result of a breach by the Contractor, the Authority shall undertake the Required Action in accordance with Good Industry Practice and shall indemnify and keep indemnified in full the Contractor against all Direct Losses where it fails to do so.
