ACTION BY IH. All actions required or permitted to be taken under this Agreement by IH, including, without limitation, exercise of discretion, consents, waivers, and amendments to this Agreement, shall be made and authorized only by a designee of Whitney & Co., LLC or by his or her representative specifically authorized in writing to fulfill these obligations under this Agreement.
