Common use of Action by Member Clause in Contracts

Action by Member. The Member may call meetings of the Member at such times and places as the Member may determine in its sole discretion and may act by written consent. The action of the Member on behalf of the Company taken in its name or on its behalf shall conclusively be deemed to be the act of the Company.
