Common use of Action by the Sole Member Clause in Contracts

Action by the Sole Member. The Sole Member may take any action permitted or required to be taken without a meeting, without prior notice and without a vote if a written consent, setting forth the action so taken, shall be signed by the Sole Member. A consent transmitted by the Sole Member by electronic transmission shall be deemed to be signed for the purposes of this Section 3.3.
