Action by Unanimous Written Consent Without a Meeting. Any action required or permitted to be taken at any meeting of the Managers may be taken without a meeting and without prior notice (except as provided below in this section), if all Managers shall have signed a consent or consents in writing, setting forth the action so taken, and such writings are filed with the minutes of proceedings of the Managers. A telegram, telex or similar transmission by a Manager, or a photographic, photostatic, facsimile or similar reproduction of a writing signed by a Manager, shall be regarded as signed by the Manager for purposes of this Section 7.9.
