ACTION OF AUTHORIZED COMMITTEE DEEMED TO BE ACTION OF BOARD OF DIRECTORS. Whenever action is required by this Indenture by the Board of Directors of the Company and there is at the time constituted a committee of the Board of Directors duly authorized to take such action, such action by said committee shall be deemed to be the action of the Board of Directors and shall be sufficient for all purposes of this Indenture where action by the Board of Directors is specified.
