Common use of Action/Proceeding Clause in Contracts

Action/Proceeding. No action, proceeding, investigation or administrative hearing before a court or any other governmental agency or body shall have been instituted or threatened against Seller or Buyer which seeks injunctive relief in anticipation of the sale of the Assets and may reasonably be expected to prohibit the sale of the Assets to Buyer or seeks damages in a material amount by reason of the consummation of such sale.

No action, proceeding, investigation or administrative hearing before a court or any other governmental agency or body shall have been instituted or threatened against Seller the Company or Buyer any Shareholder which seeks injunctive relief in anticipation of the sale of the Assets and may reasonably be expected to prohibit the sale consummation of the Assets to Buyer transactions contemplated hereby or seeks damages in a material amount by reason of the consummation of such saletransactions.

No action, proceeding, investigation or administrative hearing before a court or any other governmental agency or body shall have been instituted or threatened against Seller the Company or Buyer any Controlling Shareholder which seeks injunctive relief in anticipation of the sale of the Assets and may reasonably be expected to prohibit the sale consummation of the Assets to Buyer transactions contemplated hereby or seeks damages in a material amount by reason of the consummation of such saletransactions.
