Action through Sub-Agents and Affiliates. The Administrative Agent may perform any and all of its duties and exercise its rights and powers by or through any one or more sub-agents appointed by it. The Administrative Agent and any such sub-agent may perform any and all its duties and exercise its rights and powers through its respective Affiliates, including, in the case of JPMCB, through its London branch or through ▇.▇. ▇▇▇▇▇▇ Europe Limited. The exculpatory provisions of this Article XII and the provisions of Section 11.06 shall apply to any such sub-agent or Affiliate and to the directors, officers, employees, agents and advisors of each such Person.
