Action Without Vote. Notwithstanding any other provisions of this Section, the Administrative Agent may, without obtaining the consent of the Syndication Parties or Voting Participants, determine (a) whether the conditions to an Advance have been met, and (b) the amount of such Advance;
Action Without Vote. Notwithstanding any other provisions of this Section, the Administrative Agent or, with respect to Subsection 16.10.4(b) hereof, the Letter of Credit Bank and the Administrative Agent, may take the following actions without obtaining the consent of the Syndication Parties or the Voting Participants:
(a) Determining (i) whether the conditions to an Advance have been met, and (ii) the amount of such Advance;
(b) Determining (i) whether the conditions and procedures as set forth in Article 5 hereof for issuance of a Committed Letter of Credit have been properly satisfied and (ii) the amount of such Letter of Credit;
(c) Determining whether the Bid Advance conditions and procedures as set forth in Article 4 hereof have been properly satisfied.

Notwithstanding any other provisions of this Section, the Administrative Agent or, with respect to Subsection 15.10.3(b) hereof, the Letter of Credit Bank and the Administrative Agent, may take the following actions without obtaining the consent of the Syndication Parties or the Voting Participants:

If no written consent or denial is received from a Syndication Party within five (5) Banking Days after written notice of any proposed action as described in this Section is delivered to such Syndication Party by the Administrative Agent, such Syndication Party shall be conclusively deemed to have consented thereto for the purposes of this Section.

Action Without Vote. Notwithstanding any other provisions of this Section 15.10, the Administrative Agent or, with respect to Subsection 15.10.3(b) hereof, the Letter of Credit Bank and the Administrative Agent, may take the following actions without obtaining the consent of the Syndication Parties or the Voting Participants:
a. Determining after the Closing Date (i) whether the conditions to a 5-Year Advance have been met, and (ii) the amount of such 5-Year Advance;
b. Determining (i) whether the conditions and procedures as set forth in Article 4 hereof for issuance of a Letter of Credit have been properly satisfied, (ii) the amount of such Letter of Credit and (iii) the determination and implementation of any LC Separation Arrangements;
c. Determining whether the Bid Advance conditions and procedures as set forth in Article 3 hereof have been properly satisfied; and
d. Making modifications pursuant to Section 16.25.
Action Without Vote. Notwithstanding any other provisions of this Section, the Administrative Agent may take the following action without obtaining the consent of the Syndication Parties:
(a) Determining (i) whether the conditions to a 3-Year Advance have been met, and (ii) the amount of such 3-Year Advance; or
(b) Determining (directly or through the Letter of Credit Bank) (i) whether the conditions to the issuance of a Letter of Credit have been met, and (ii) the amount of such Letter of Credit. If no written consent or denial is received from a Syndication Party within five (5) Banking Days after written notice of any proposed action as described in this Section is delivered to such Syndication Party by the Administrative Agent, such Syndication Party shall be conclusively deemed to have consented thereto for the purposes of this Section.
Action Without Vote. Notwithstanding any other provisions of this Section, Agent may take the following actions without obtaining the consent of the Syndication Parties:
(a) Determining (i) whether the conditions to an Advance have been met, and (ii) the amount of such Advance;
(b) Approving the issuer and form of the letter of credit, when and if required under the terms of the Note Purchase Agreement, provided that the issuer shall, at the time of issuance, have at least $2,500,000,000.00 in total assets; and
(c) Approving Borrower's use of a trade name as provided in Section 13.7 hereof. If no written consent or denial is received from a Syndication Party within five (5) Business Days after written notice of any proposed action as described in this Section is delivered to such Syndication Party by Agent, such Syndication Party shall be conclusively deemed to have consented thereto for the purposes of this Section.
Action Without Vote. Notwithstanding any other provisions of this Section, the Administrative Agent may, without obtaining the consent of the Syndication Parties or the Voting Participants, determine:
(a) whether the conditions to a 364-Day Advance or the issuance of a Committed Letter of Credit have been met, and the amount of such 364-Day Advance or maximum amount of such Committed Letter of Credit.
