Common use of Action Without Vote Clause in Contracts

Action Without Vote. Notwithstanding any other provisions of this Section, the Administrative Agent may, without obtaining the consent of the Syndication Parties or Voting Participants, determine (a) whether the conditions to an Advance have been met, and (b) the amount of such Advance;

Determining after the Closing Date (ai) whether the conditions to an Advance a Loan have been met, and (bii) the amount of such Advance;Loan; and b. Making modifications pursuant to Section 14.25 or the Incremental Loan Amendments as set forth in Section 2.9.5.

Notwithstanding any other provisions of this Section, the Administrative Agent mayor, with respect to Subsection 14.9.3(b) hereof, the Administrative Agent, may take the following actions without obtaining the consent of the Syndication Parties or the Voting Participants, determine : (a) Determining (i) whether the conditions to an Advance have been met, and (bii) the amount of such Advance; (b) Determining whether the Bid Advance conditions and procedures as set forth in Article 3 hereof have been properly satisfied.
