ACTIONS AFFECTING CONTRIBUTED INTERESTS. Contributors shall not have sold, assigned, leased, pledged, transferred or encumbered any of the Contributed Interests, or entered into any other consent, commitment, understanding or other agreement, or have incurred any material obligation or liability (contingent or absolute) with respect to the Contributed Interests.
