Actions and Proceedings, etc. There are no (a) outstanding judgments, orders, writs, preliminary or permanent injunctions or other decrees of any court, administrative agency, governmental authority or instrumentality or arbitration tribunal against the Shareholder which have or could reasonably have a Material Adverse Effect on the ability of the Shareholder to consummate the transactions contemplated hereby or (b) actions, suits, claims or legal, administrative or arbitration proceedings or investigations pending or, to the Knowledge of the Shareholder, threatened against the Shareholder, which have or could reasonably have a Material Adverse Effect on the ability of the Shareholder to consummate the transactions contemplated hereby.
