Actions by Parent and Purchaser. Subject to the provisions of this Agreement, Parent shall provide or cause to be provided to Purchaser all of the funds necessary to purchase any Shares that Purchaser becomes obligated to purchase pursuant to the Offer at such time as such funds are necessary.
