Common use of Actions by Parties Clause in Contracts

Actions by Parties. Each Party agrees to use commercially reasonable efforts to satisfy the conditions to Closing set forth in Article 8 and to refrain from taking any action within its control which would cause a breach of a representation or warranty set forth herein.

Actions by Parties. Each Party party hereto agrees to use its commercially reasonable efforts to satisfy the conditions to Closing set forth in Article 8 and to use its commercially reasonable efforts to refrain from taking any action within its control which that would cause a breach of a representation representation, warranty, covenant or warranty agreement set forth hereinin this Agreement. Each party hereto shall take all commercially reasonable steps necessary or desirable, and proceed diligently and in good faith and shall use all reasonable efforts to, as promptly as practicable, consummate the transactions contemplated by this Agreement and the Operative Documents.
