Actions by the Committee. The Committee may delegate its authority to administer this Agreement. The actions and determinations of the Committee or delegate shall be binding upon the parties.
Actions by the Committee. The Committee may act at a meeting, or in writing without a meeting, by the vote or assent of a majority of its members. The Committee will appoint one of its members to act as a secretary to record all Committee actions. The Committee also may authorize one or more of its members to execute papers and perform other ministerial duties on behalf of the Committee.
Actions by the Committee. The Committee shall furnish the Trustee with a written list of names, signatures and extent of authority of all persons authorized to act on behalf of the Committee under the terms of the Trust Agreement.
Actions by the Committee. A quorum of the Committee shall be ------------------------ present at any meeting of the Committee if at least three members are present at such meeting in person or by telephone. If a quorum exists at any meeting, the unanimous consent of all members of the Committee present at such meeting is required to take any action on behalf of the Committee. In no event shall any action (other than a determination not to proceed to Phase II, as described in Section 3.7 below, which may occur upon the vote of any two Committee members) be taken by the Committee if there is other than unanimous consent. Unless otherwise specifically stated to the contrary herein, no individual party shall purport to act on behalf of the other party unless and then only to the extent authorized to do so by the Committee.
Actions by the Committee. Any action of the Committee pursuant to this ------------------------ Trust Agreement shall be evidenced by: (a) a resolution adopted by a majority vote of the members of such Committee, that is certified to the Trustee by the Secretary (or any Assistant Secretary) of the Committee; or (b) a written notice or direction to such effect over the signatures of a majority of the members of such Committee, who shall have been certified to the Trustee by the Secretary (or any Assistant Secretary) of the Committee as having such authority. The Secretary (or any Assistant Secretary) of the Committee shall provide to the Trustee in writing the names and specimen signatures of the members of the Committee as such may be constituted from time to time. The Trustee and the Recordkeeper each shall be shall be fully protected in acting in accordance with such resolutions, notices or directions of the Committee.
Actions by the Committee. Any action which is required to be taken by the Committee pursuant to this Agreement shall be taken by the vote of a majority of the members of the Committee. Any written directions given by the Committee in accordance with the terms hereof shall be executed by a majority of the members of the Committee and the Agent is expressly entitled to rely on such written directions.
Actions by the Committee. In managing the business and affairs of the Company and exercising its powers, the Committee may act collectively through meetings and written consents, or through officers and other agents to whom authority and duties have been delegated by the Committee. (i) Meetings of the Committee may be held at such place or places as may be determined from time to time by the Committee; provided, however, that Managers shall be given the opportunity to be present at such meetings in person, by conference telephone, or other communications device; and provided further, that in no event shall a meeting of the Committee be held in the United Kingdom. (ii) Any action permitted or required by the Act or this Agreement to be taken at a meeting of the Committee may be taken without a meeting if a consent in writing, setting forth the action to be taken, is signed by all Managers.
Actions by the Committee. All actions of the Committee shall be taken pursuant to the decision of the majority of the then members of the Committee. Such action may be taken at a meeting of the Committee duly called and held, or by written consent in lieu of a meeting.
