Common use of Actions of Members Clause in Contracts

Actions of Members. Except as otherwise expressly provided for in this Agreement, the Members may not act for or bind the Company or participate in the general management, conduct or control of the Company's business or affairs. Nothing contained in this Section 3.11 will prohibit any Member or any partner, shareholder, member, officer, director, employee, agent or other representative of any Member from serving as an officer or agent of the Company.
