Common use of Actions of Seller and the Company Clause in Contracts

Actions of Seller and the Company. Prior to the Closing Date, (a) Illinois, Xxxxxx, and the Company shall use their best efforts to complete the transaction contemplated in this Agreement and, without limiting the generality of the foregoing, to obtain all consents and authorizations necessary to transfer the partnership interests and all its ownership of the Company to VCG, and to retain/transfer the Company’s license to sell liquor in Illinois, and will cause to be prepared all documentation related to such consents and authorizations; and (b) Illinois, Xxxxxx, and Company shall make all filings and give all notices to those parties which may be necessary or reasonably required in order to effect the transactions contemplated by this Agreement and to comply with all applicable state laws and regulations in connection with the effectuation of this Agreement.
