Common use of Actions of the Stockholders’ Agent Clause in Contracts

Actions of the Stockholders’ Agent. A decision, act, consent or instruction of the Stockholders' Agent shall be final, binding and conclusive, and the Acquiror may rely upon any decision, act, consent or instruction of the Stockholders' Agent. Acquiror is hereby relieved from any liability to any person for any acts done by it in accordance with such decision, act, consent or instruction of the Stockholders' Agent.

Actions of the Stockholders’ Agent. A decision, act, consent or instruction of the Stockholders' Agent shall constitute a decision of all Target Stockholders and shall be final, binding and conclusive, conclusive upon each such Target Stockholder and the Acquiror may rely upon any decision, act, consent or instruction of the Stockholders' AgentAgent as being the decision, act, consent or instruction of each and every such Target Stockholder. Acquiror is The Escrow Agent and Buyer are hereby relieved from any liability to any person for any acts done by it them in accordance with such decision, act, consent or instruction of the Stockholders' ’ Agent.

A decision, act, consent or instruction of the Stockholders' ’ Agent shall constitute a decision of all Target stockholders with respect to the matters within the scope of this Section 7 and shall be final, binding and conclusiveconclusive upon each such Target stockholder, and the Acquiror may rely upon any decision, act, consent or instruction of the Stockholders' Agent. Acquiror is hereby relieved from any liability to any person for any acts done by it in accordance with such ’ Agent as being the decision, act, consent or instruction of the Stockholders' Agenteach and every such Target stockholder.
