Actions Required. The Parties will (to the extent permitted by law) do everything required to give effect to the terms of this agreement and will, if necessary, amend or replace the Constitution to give effect to the terms of this agreement.

Actions Required. If There is a Reduction in MBE/WBE Participation. A. In the event there is a change or reduction in any MBE/WBE Work which will result in the Contractor failing to meet the MBE/WBE participation goal(s) for this Contract, other than a reduction in MBE/WBE Work resulting from a Change Order initiated by the Awarding Authority, then the Contractor shall immediately undertake a diligent, good faith effort to make up the shortfall in MBE/WBE participation as follows: (1) The Contractor shall identify all items of the Work remaining to be performed under the Contract that may be made available for subcontracting to MBE/WBEs. The Contractor shall send a list of such items of work to the Awarding Authority, together with a list of the remaining items of the Work that were not made available to MBE/WBEs and the reason for not making such work available for subcontracting to MBE/WBEs. (2) The Contractor shall send written notices soliciting proposals to perform the items of the Work that may be made available for subcontracting to MBE/WBEs to all MBE/WBEs qualified to perform such work. The Contractor shall advise the Awarding Authority of (i) each MBE/WBE solicited, and (ii) each MBE/WBE listed in the SDO directory under the applicable trade category who was not solicited and the reasons therefor. The Contractor shall also advise the Awarding Authority of the dates notices were mailed and provide a copy of the written notice(s) sent. (3) The Contractor shall make reasonable efforts to follow up the written notices sent to MBE/WBEs with telephone calls or personal visits in order to determine with certainty whether the MBE/WBEs were interested in performing the work. Phone logs or other documentation must be submitted to the Awarding Authority evidencing this effort. (4) The Contractor shall make reasonable efforts to assist MBE/WBEs that need assistance in obtaining insurance, bonds, or lines of credit in order to perform work under the Contract, and shall provide the Awarding Authority with evidence that such efforts were made. (5) The Contractor shall provide the Awarding Authority with a statement of the response received from each MBE/WBE solicited, including the reason for rejecting any MBE/WBE who submitted a proposal, if applicable. (6) The Contractor shall take any additional measures reasonably requested by the Awarding Authority to meet the MBE/WBE participation goal(s) established for this Contract, including, without limitation, placing advertisements ...

Actions Required. Stock Variance losses (Stock-adjustments, Stock-take Losses ) of manufactured products and Bought In Lines excluding plasterboard occur due to incorrect recording of product movement inwards and outwards from the Pinkenba warehouse, as compared to the relevant paper work. Losses also occur when stock substitutions & disposals are not recorded, or are recorded incorrectly. Other stock losses are due to damaging of product. All products that are delivered to Pinkenba must be checked off as per delivery docket against goods received any variations must be directed to the Inventory Controller.
Actions Required. The Offeror shall also white-out, redact or otherwise destroy or obliterate all Confidential Information summarized, referred to or otherwise contained in any of its internal memoranda or analyses that contain material other than the Confidential Information, which it does not desire to turn over to the County, and delete from any computer system any Confidential Information contained in computer memory, and otherwise take all such actions as may be required so that it no longer has access to any of the Confidential Information. The Offeror shall also provide the County with a sworn affidavit from an authorized officer confirming such return of all of the Confidential Information and/or destruction of any portion of the Confidential Information that cannot be returned.

By no later than March 29, 2017, submit to the undersigned Provincial Officer and the Kingston District Manager, complete and updated hardcopies of the Operating Procedures Manual, and the Odour Management Plan for the Facility. 2. By no later than March 29, 2017, submit to the undersigned Provincial Officer a written action plan detailing the steps the Company will take to implement the recommendations of the Odour Management Plan, and to ensure compliance with Conditions 7 and 8 of the ECA. 3. By no later than March 29, 2017, submit to the undersigned Provincial Officer a written procedure outlining the sampling procedure for ammonia at the Facility's biofilter inlet and outlet, as required by Condition 3(3) of the ECA. 4. By no later than April 5, 2017, submit to the undersigned Provincial Officer all biofilter monitoring data required by Condition 3(1) of the ECA, for the following dates: a. October 12, 2016 b. November 22, 2016 c. December 6, 2016 d. December 30, 2016 If the Company is unable to submit this information, then a detailed written explanation providing the reasoning for the missing information, and what steps will be taken going forward to ensure that this information is available, is required to be submitted by the same date. 5. By no later than April 5, 2017, submit to the undersigned Provincial Officer Terms of Reference for performing a negative air pressure assessment on the tipping building and the covered compost buildings at the Facility. The Company is also required to submit negative air pressure data for the above mentioned buildings in the format detailed in the Facility's Air ECA, for the following dates: a. October 28, 2016 b. November 18, 2016 c. December 2, 2016 d. December 28, 2016 If the Company is unable to submit this information, then a detailed written explanation providing the reasoning for the missing information, and what steps will be taken going forward to ensure that this information is available, is required to be submitted by the same date. 6. By no later than April 12, 2017, submit to the undersigned Provincial Officer and the Kingston District Manager, a written report detailing the trends for all of the biofilter monitoring parameters listed in the Air ECA for the site, for all quarters since operations began at the Facility.
